Terms of Service

These Terms of Service (“Terms”) govern your use of Scopelyst at scopelyst.com, run by Scopelyst (“Scopelyst”, “we”, “us”). By creating an account or using the site you agree to them. If you use Scopelyst for an organisation, you confirm you may accept these Terms for it, and “you” includes that organisation.
1. What Scopelyst is
Scopelyst is a marketplace for IT services. Buyers find and compare IT service providers, post projects and requests for proposal (RFPs) and receive proposals. Service providers (“vendors”) keep a company profile, respond to opportunities and list staff available for hire.
We are not a party to any agreement between buyers and vendors. Contracts, delivery and payment for services are agreed off-platform, directly between you. We don't employ vendor staff, guarantee anyone's work, or act as an agent, broker or escrow.
2. Your account
Sign up with a business email address you control and keep your details accurate. An account belongs to one person: don't share your sign-in.
Keep your password secret. You're responsible for what happens under your account; tell us at hello@scopelyst.com straight away if you think someone else has used it.
Organisation admins can add and remove people, change their roles and manage the organisation's content. When someone leaves your organisation, an admin should remove them.
You must be at least 18 and able to enter a binding contract.
3. Company profiles and directory information
Directory profiles combine information from public sources (mainly a company's own website), information vendors give us, and checks by our team. Each fact shows where it came from. We work to keep profiles accurate but don't guarantee that any profile is complete, current or correct, so check what matters to you before relying on it.
If you represent a company you can claim its profile; we verify claims before handing over control. Vendors are responsible for everything they publish, including certifications, case studies, client names and logos, and must have the right to publish them.
A badge or “verified” label means only that we checked that item when shown. It is not an endorsement or a promise of quality.
Anyone can ask us to correct or remove information about a company or about themselves, from the link on a profile or at hello@scopelyst.com.
4. Projects, RFPs and proposals
Buyers choose who sees each project: the whole marketplace, only the vendors they invite, or both. A vendor who can see a project may use it only to decide whether to respond and to prepare a proposal, and must keep details that aren't public confidential.
Only upload what you're allowed to share. Don't post another party's confidential information, or personal data you have no right to disclose.
A proposal is shared with the buyer organisation that ran the project (and with our team where needed to run and support the service). It is not a binding contract unless you and the buyer agree so in writing.
5. Staffing listings
Vendors may list staff available for hire. By listing someone, a vendor confirms that the person has agreed to be listed with the details shown, and keeps the listing accurate. Buyers use listings to request introductions; any engagement is agreed directly with the vendor.
6. Contact details and credits
Paid plans include monthly credits for opening vendors' key contact details. Credits reset each calendar month (UTC), don't roll over, have no cash value and can't be transferred.
Use contact details only to discuss genuine business with that company. Don't add them to marketing lists, sell or pass them on, or send bulk unsolicited messages. You're responsible for following anti-spam and data protection law when you get in touch.
7. Plans and payment
Basic use is free. Free buyer accounts can post a limited number of projects, as shown on our Pricing page. Paid plans are billed monthly at the prices shown there; prices exclude taxes unless stated.
Until online checkout launches, upgrades are arranged on request and confirmed by our team. Once it launches, payments are handled by our payment provider, whose terms also apply.
You can cancel a paid plan at any time; it stays active until the end of the period already paid for. Except where the law says otherwise, fees already paid are not refunded.
We'll give you at least 30 days' notice of a price change. It applies from your next billing period.
8. AI features
Some features use AI models: drafting project scopes and summaries, reading requirements out of uploaded documents, and suggesting vendors. AI output can be wrong or incomplete. Review it before you publish or rely on it; you're responsible for what you post.
To provide these features we send the relevant content, such as the text of an uploaded RFP, to our AI providers. The Privacy Policy says who they are.
9. Acceptable use
When using Scopelyst, don't:
- scrape, crawl or bulk-download the directory, contact details or other content, or use them to build a competing database;
- get around plan limits, credits, rate limits or access controls, or use another organisation's account;
- post anything false, misleading, defamatory or unlawful, or impersonate a person or company;
- upload malware, disrupt the service, or probe our systems for vulnerabilities without our written permission;
- harass anyone or send spam;
- use Scopelyst in breach of sanctions, export controls or any other law.
We may remove content and suspend accounts that break these Terms.
10. Your content
You keep ownership of what you upload and write. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process and display it as needed to run Scopelyst for you and for the people you share it with. That includes showing vendor profiles publicly and processing documents with the providers listed in our Privacy Policy. The licence ends when you delete the content or your account, except for copies we must keep by law and backups that expire on their own schedule.
If you send us feedback, we may use it without any obligation to you.
11. Our service
Scopelyst, its software, design and brand belong to us or our licensors. These Terms don't give you any rights in them beyond using the service as intended.
We keep improving Scopelyst and may add, change or remove features. We aim to keep it available but can't promise it will be uninterrupted or error-free.
12. Suspension and closing accounts
You can delete your account at any time in Settings. We may suspend or close an account that breaks these Terms or creates legal or security risk for us or others; where reasonable, we'll tell you first and explain why.
Sections that by their nature should continue (such as licences needed for backups, disclaimers, limits of liability and governing law) continue after your use ends.
13. Disclaimers
Scopelyst is provided “as is” and “as available”. As far as the law allows, we give no warranties, express or implied, including of merchantability, fitness for a particular purpose or non-infringement. We don't vet vendors' work and aren't responsible for agreements between users or for what users do or fail to do.
14. Limitation of liability
As far as the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to Scopelyst is limited to the greater of the fees you paid us in the 12 months before the claim and USD 100.
Nothing in these Terms limits liability that the law doesn't allow to be limited.
15. Indemnity
You'll compensate us for claims, losses and reasonable costs that arise from your content, your dealings with other users, or your breach of these Terms.
16. Changes to these Terms
We may update these Terms. For a material change we'll tell you by email or in the app at least 30 days before it takes effect, unless a faster change is needed for legal or security reasons. If you keep using Scopelyst after that, the new Terms apply.
17. Governing law and disputes
These Terms are governed by the laws of India, and the courts of India have exclusive jurisdiction, though either of us may seek urgent relief in any competent court.
